Terms of Service

These Terms of Service (“Terms”) govern your access to and use of FieldworkABA, including the website at https://fieldworkaba.com, the FieldworkABA web application, mobile application, dashboards, fieldwork tracking tools, exam preparation tools, supervisor tools, organization tools, forms, reports, support services, and any related services we provide — collectively, the “Service.”

The Service is operated by FieldworkABA (“FieldworkABA,” “we,” “our,” or “us”).

By creating an account, accessing the Service, inviting a supervisor or trainee, using exam preparation tools, purchasing a subscription, sponsoring another user, or otherwise using FieldworkABA, you agree to these Terms. If you do not agree to these Terms, do not use the Service.

1. Independent Tool — Not Affiliated with the BACB

FieldworkABA is an independent, privately developed fieldwork tracking, supervision support, and exam preparation platform. We are not affiliated with, endorsed by, certified by, licensed by, sponsored by, reviewed by, or acting on behalf of the Behavior Analyst Certification Board, Inc. (“BACB”).

The terms “BACB,” “BCBA,” “BCaBA,” “RBT,” and related certification names are trademarks, certification marks, or terms associated with the Behavior Analyst Certification Board, Inc. We use these terms only to describe the fieldwork tracking, supervision, study, and certification context for which the Service is designed.

FieldworkABA does not represent the BACB. The BACB has not reviewed, approved, endorsed, or certified the Service, our calculations, our dashboards, our exam preparation content, our practice questions, our explanations, our reports, our templates, our visuals, our study tools, or any guidance displayed inside the Service.

You are solely responsible for reviewing and following official BACB requirements, consulting the official BACB website, working with your qualified supervisor, completing required coursework, maintaining accurate documentation, and ensuring that your fieldwork records, exam preparation, and certification application satisfy the rules that apply to you.

2. Description of the Service

FieldworkABA is a fieldwork tracking, supervision support, documentation, and exam preparation platform designed to help individuals pursuing behavior analyst certification organize their fieldwork records and prepare for certification-related exams.

FieldworkABA is more than a fieldwork tracker. The Service may include features such as:

  • Fieldwork hour logging;
  • Restricted and unrestricted activity tracking;
  • Monthly fieldwork summaries;
  • Supervisor-trainee connection tools;
  • Supervisor review dashboards;
  • Organization and team management tools;
  • Document storage and export tools;
  • Monthly verification form support;
  • Progress dashboards;
  • Compliance reminders and alerts;
  • Reports, summaries, and downloadable records;
  • Support for moving or importing hours from other tracking systems;
  • Exam preparation tools;
  • Practice questions;
  • Adaptive explanations;
  • Question-specific traps, rationales, and learning supports;
  • Support visuals that adapt to each question;
  • Study dashboards, quiz modes, and practice history.

The exam preparation portion of the Service may allow users to choose how they want to practice using one question engine where explanations, traps, and support visuals adapt to each question.

The Service is a tracking, organization, study, and productivity tool only. It is not official BACB recordkeeping. It is not an official BACB exam preparation product. It does not guarantee that your hours, forms, documentation, supervision structure, exam readiness, certification application, or exam performance will be accepted or approved by the BACB, your supervisor, your employer, your university, your state licensing board, or any other party.

3. Eligibility

You must be at least 18 years old to create an account or use the Service. By using FieldworkABA, you represent that:

  • You are at least 18 years old;
  • You have the legal authority to agree to these Terms;
  • The information you provide is accurate and current;
  • Your use of the Service complies with all applicable laws, rules, professional standards, employment requirements, university requirements, and supervision requirements.

We may refuse access, suspend accounts, or terminate accounts if we believe these eligibility requirements are not met.

4. Account Registration and Security

To use the Service, you may need to create an account using your real email address and accurate account information. You agree to:

  • Provide accurate, complete, and current registration information;
  • Keep your email address and account details up to date;
  • Maintain the confidentiality of your login credentials;
  • Not share your account with another person;
  • Not allow another person to access the Service through your account;
  • Notify us promptly if you believe your account has been accessed without authorization.

You are responsible for all activity that occurs under your account, including fieldwork entries, supervisor invitations, exam preparation activity, exports, billing actions, and changes made from your account.

FieldworkABA is not responsible for loss, damage, errors, missed deadlines, unauthorized changes, account misuse, or certification consequences caused by your failure to protect your login credentials.

5. User Roles

FieldworkABA may support different account roles, including trainee accounts, supervisor accounts, and organization accounts.

5.1 Trainee Accounts

Trainee accounts are intended for individuals tracking fieldwork hours, managing supervision documentation, and preparing for certification-related exams. Trainees are responsible for entering accurate fieldwork data, reviewing all records, maintaining required documentation, using study tools appropriately, and confirming requirements with their supervisor and the BACB.

5.2 Supervisor Accounts

Supervisor accounts may allow supervisors to view trainee records, review progress, communicate with trainees, access reports or summaries, and monitor fieldwork documentation. Unless a specific feature clearly allows editing, supervisor access is generally intended for review and oversight. Supervisors remain responsible for their own professional judgment, supervision obligations, documentation practices, ethics obligations, and compliance with BACB requirements and applicable laws.

FieldworkABA does not replace the supervisor’s responsibility to verify fieldwork, provide supervision, review documentation, maintain required records, or determine whether fieldwork activities satisfy applicable requirements.

5.3 Organization Accounts

Organization accounts may be used by clinics, agencies, schools, companies, universities, or other organizations that manage multiple trainees, supervisors, students, or employees. Organization administrators may have access to user information, fieldwork summaries, organization dashboards, audit logs, billing settings, team settings, or other administrative features depending on the plan and permissions selected.

Organizations are responsible for ensuring that their use of FieldworkABA complies with employment laws, privacy laws, supervision agreements, student policies, internal policies, and any other applicable requirements.

6. Supervisor Connections and Invitations

FieldworkABA may allow trainees and supervisors to connect through invitations, approval workflows, or organization-level assignments. By creating or accepting a supervisor-trainee connection, you authorize FieldworkABA to share relevant fieldwork data, progress data, reports, account information, and related supervision information between connected users according to their role and permissions.

Either a trainee, supervisor, or organization administrator may be able to revoke, modify, or remove a connection depending on the account structure and permission settings. FieldworkABA is not responsible for:

  • A supervisor’s failure or refusal to review records;
  • A supervisor’s failure or refusal to sign forms;
  • A trainee’s failure to invite the correct supervisor;
  • Incorrect supervisor information;
  • Delays caused by supervisor review;
  • Disputes between trainees and supervisors;
  • Misunderstandings between trainees, supervisors, employers, universities, organizations, or other parties;
  • Certification consequences arising from incomplete, inaccurate, late, unsigned, or disputed documentation.

7. Your Responsibility for Fieldwork Data

You are solely responsible for the accuracy, completeness, truthfulness, and timeliness of all fieldwork data entered into the Service. This includes, but is not limited to:

  • Dates;
  • Hours;
  • Restricted and unrestricted activity types;
  • Supervised and independent fieldwork designations;
  • Supervisor names and contact information;
  • Experience type;
  • Client or setting descriptions;
  • Monthly totals;
  • Observation records;
  • Supervision contacts;
  • Signatures;
  • Forms;
  • Notes;
  • Imported records;
  • Edited records;
  • Exported reports.

You agree not to submit false, fabricated, misleading, inflated, backdated, or otherwise inaccurate fieldwork information.

FieldworkABA may provide calculations, alerts, summaries, dashboards, reminders, or other indicators based on the information you provide. These tools are provided for convenience only. You must independently verify all calculations, documentation, forms, records, and requirements before relying on them.

8. BACB Requirements and Compliance Calculations

FieldworkABA may display fieldwork rules, limits, reminders, progress indicators, percentages, warnings, or other compliance-related information. We make reasonable efforts to design the Service around publicly available BACB requirements. However, BACB requirements may change, may be interpreted differently depending on the circumstances, and may apply differently based on your certification pathway, start date, supervision contract, university program, state requirements, employment setting, or other factors.

We do not guarantee that:

  • Our calculations are always current;
  • Our interpretation of BACB requirements is complete or correct;
  • The Service identifies every issue in your records;
  • The Service prevents every possible documentation error;
  • The BACB will accept any forms, hours, reports, or records generated through the Service;
  • Your supervisor, employer, university, or licensing board will accept records generated through the Service.

You should always confirm requirements directly with the BACB and your designated supervisor.

9. Exam Preparation

FieldworkABA may provide exam preparation features, including practice questions, explanations, rationales, visual supports, traps, hints, study modes, progress tracking, adaptive learning tools, and performance summaries.

FieldworkABA is more than a fieldwork tracker, but the exam preparation portion of the Service is still provided for educational and study support purposes only. The Service may allow you to choose how you want to practice. FieldworkABA may use one question engine where explanations, traps, rationales, and support visuals adapt to each question.

FieldworkABA does not provide official BACB exam content. We do not claim to reproduce actual BACB exam questions. We do not guarantee that any practice question, explanation, rationale, study mode, readiness estimate, score, support visual, trap, or progress indicator reflects your actual exam performance.

You understand and agree that:

  • Practice questions are not official BACB questions;
  • Practice questions may differ from actual exam questions in format, difficulty, content, wording, and scoring;
  • Explanations and rationales may simplify complex concepts for learning purposes;
  • Adaptive question support may not identify every misunderstanding or knowledge gap;
  • Study scores and progress indicators are estimates only;
  • Support visuals are educational aids only;
  • Using the Service does not guarantee that you will pass any certification exam;
  • You are responsible for confirming exam requirements, eligibility rules, content outlines, testing policies, and certification requirements directly with the BACB.

FieldworkABA is not a substitute for official BACB materials, formal coursework, supervision, professional instruction, independent study, or review of the applicable BACB test content outline.

10. Imports, Data Migration, and Support-Assisted Entries

FieldworkABA may offer tools or support services to help users move fieldwork records from spreadsheets, PDFs, prior apps, handwritten notes, or other tracking systems. Any imported, converted, manually entered, or support-assisted data must be reviewed by you before you rely on it.

You are responsible for confirming that all migrated or imported data is accurate, complete, correctly categorized, and assigned to the correct month, supervisor, activity type, and experience type. FieldworkABA is not responsible for errors, omissions, formatting problems, incorrect categorization, missing records, duplicate records, or certification consequences arising from imported or migrated data.

11. Adaptive, Automated, and AI-Assisted Features

FieldworkABA may use automated, adaptive, or AI-assisted features to support fieldwork tracking, data import, study tools, explanations, visual supports, question practice, summaries, reminders, or other Service functions. Automated or AI-assisted output may contain errors. It may misinterpret dates, hours, categories, activity types, supervisor information, exam concepts, study performance, or user intent.

You are responsible for reviewing all automated, adaptive, or AI-assisted output before relying on it, saving it, exporting it, sharing it with a supervisor, using it for study purposes, or submitting any related information to the BACB or another party. We are not responsible for errors, omissions, inaccuracies, incomplete explanations, incorrect categorization, or certification consequences arising from automated, adaptive, or AI-assisted output.

12. Healthcare-Adjacent Data and No PHI

FieldworkABA is designed for fieldwork tracking, supervision documentation, and exam preparation. It is not designed to store patient records, clinical records, medical records, protected health information, or detailed client treatment information.

You agree not to upload, enter, store, or transmit Protected Health Information (“PHI”) or other sensitive client-identifying information through the Service unless we have entered into a separate written agreement that expressly allows it. Do not enter client full names, medical record numbers, insurance information, dates of birth, diagnosis details tied to an identifiable person, addresses, phone numbers, or other information that could identify a client or patient.

FieldworkABA is not a healthcare provider, health plan, or healthcare clearinghouse. Unless we expressly agree otherwise in writing, FieldworkABA is not intended to be used as a HIPAA-covered system and we do not provide the Service as a HIPAA Business Associate. You are responsible for complying with HIPAA, FERPA, state privacy laws, employer policies, school policies, clinic policies, university policies, and professional ethics requirements that apply to your work.

13. Acceptable Use

You agree to use FieldworkABA only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any unlawful purpose;
  • Submit false, fabricated, misleading, or fraudulent fieldwork records;
  • Misrepresent your certification progress to the BACB, a supervisor, an employer, a university, or any other party;
  • Misuse exam preparation content, practice questions, explanations, visuals, or study tools;
  • Copy, scrape, reproduce, sell, publish, or distribute practice questions or exam preparation content without permission;
  • Impersonate another person or entity;
  • Create an account using another person’s identity;
  • Access or attempt to access another user’s account or data without authorization;
  • Interfere with or disrupt the Service;
  • Upload viruses, malware, malicious code, or harmful files;
  • Use bots, scrapers, crawlers, or automated tools to access, copy, or extract data from the Service;
  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service;
  • Bypass security, authentication, rate limits, or access controls;
  • Resell, sublicense, lease, or commercially exploit the Service without our written permission;
  • Use the Service to store or transmit PHI or patient-identifying data in violation of these Terms;
  • Use the Service in a way that could harm FieldworkABA, another user, a supervisor, an organization, or any third party;
  • Violate any applicable law, regulation, certification rule, professional standard, or third-party right.

We may investigate suspected violations and may suspend or terminate access where appropriate.

14. Subscription, Trial, Billing, and Payment

FieldworkABA may offer free trials, paid subscriptions, supervisor accounts, organization accounts, sponsored trainee accounts, or other pricing options. Specific pricing, trial length, included features, renewal terms, and billing details will be disclosed on the pricing page, checkout page, account page, billing portal, or applicable order form.

14.1 Trainee Subscriptions

Trainee accounts may require a paid subscription after any applicable trial period. By purchasing a subscription, you authorize us or our payment processor to charge your selected payment method on a recurring basis until the subscription is cancelled.

14.2 Supervisor Accounts

FieldworkABA may offer supervisor accounts free of charge or as part of a paid organization or team plan. We reserve the right to modify supervisor account features, pricing, or availability with reasonable notice where required.

14.3 Sponsored Trainee Accounts

Supervisors, employers, universities, or organizations may be able to sponsor or pay for trainee accounts. If your account is sponsored by another party, your access may depend on that party’s billing status, organization settings, account permissions, or sponsorship status. If sponsorship ends, you may need to add your own payment method or move to a different plan to continue using paid features.

14.4 Payment Processing

Payments may be processed by third-party payment processors such as Stripe or another provider. By submitting payment information, you agree to the applicable payment processor’s terms and authorize charges for the selected plan. We do not store full credit card numbers on our own servers.

14.5 Cancellation

You may cancel a paid subscription according to the cancellation tools available in your account, the billing portal, or by contacting support. Cancellation stops future billing but does not automatically refund amounts already paid. Your access may continue until the end of the current billing period unless otherwise stated at checkout or required by law.

14.6 Refunds

Payments are non-refundable except where required by law or expressly stated in a written refund policy. If you believe you were charged in error, contact us promptly at support@fieldworkaba.com so we can review the issue.

14.7 Price Changes

We may change pricing, plan features, trial terms, or billing structures. For existing paid subscribers, we will provide reasonable advance notice of material pricing changes where required by law. Continued use of the Service after a pricing change takes effect constitutes acceptance of the updated pricing.

15. Data Ownership

You retain ownership of the fieldwork data, records, notes, reports, files, and other content you enter into FieldworkABA (“User Content”). We do not claim ownership of your User Content.

By using the Service, you grant FieldworkABA a limited, non-exclusive, worldwide license to host, store, process, display, transmit, back up, and use your User Content solely as necessary to provide, maintain, secure, support, and improve the Service. This license includes the right to process your User Content to generate dashboards, reports, exports, forms, reminders, supervisor views, organization views, support responses, study history, progress summaries, and other Service features.

16. Data Exports, Storage, and Backups

FieldworkABA may allow you to export fieldwork records, reports, forms, summaries, or other data in available formats. You are responsible for maintaining your own copies, backups, and exports of any records you consider important.

Although FieldworkABA may provide document storage and retention features, we do not guarantee that the Service will serve as your sole permanent archive. You should keep independent copies of monthly forms, final verification forms, supervision contracts, exam-related records, and other important documentation. If FieldworkABA offers long-term storage features, those features are subject to your plan, account status, these Terms, and our Privacy Policy.

We are not liable for loss, corruption, deletion, inability to access, or failure to export data except to the extent required by applicable law.

17. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, store, share, and protect information. By using the Service, you agree that we may process your information as described in the Privacy Policy.

18. Security

We use reasonable administrative, technical, and organizational safeguards designed to protect the Service and user data. However, no system is completely secure. We do not guarantee that unauthorized access, data loss, service interruption, or security incidents will never occur.

You are responsible for using a secure password, protecting your login credentials, keeping your email account secure, logging out of shared devices, and promptly notifying us of suspected unauthorized access.

19. Aggregated and De-Identified Data

We may use aggregated, anonymized, or de-identified data that does not identify you personally to improve the Service, analyze usage, develop features, publish insights, monitor system performance, and support business operations. We will not use aggregated or de-identified data in a way that identifies you as an individual.

20. Intellectual Property

The Service, including its software, design, code, workflows, dashboards, graphics, icons, logos, text, templates, reports, documentation, practice questions, rationales, explanations, support visuals, study tools, trade names, trademarks, and other materials, is owned by FieldworkABA or its licensors and is protected by copyright, trademark, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, lease, sublicense, reverse-engineer, publish, reproduce, or create derivative works based on the Service unless we give you written permission.

21. Exam Preparation Content Ownership and Restrictions

All FieldworkABA exam preparation materials, including practice questions, answer choices, explanations, rationales, traps, hints, visuals, learning supports, study modes, performance summaries, and related educational content, are owned by FieldworkABA or its licensors. You may use exam preparation content only for your own personal study or authorized organizational use. You may not:

  • Copy or reproduce exam preparation content;
  • Share practice questions publicly;
  • Post questions or explanations online;
  • Sell, license, or distribute exam preparation content;
  • Use exam preparation content to create a competing product;
  • Use automated tools to extract, store, or reproduce question banks;
  • Misrepresent FieldworkABA content as official BACB content.

Violation of this section may result in account suspension or termination.

22. Feedback

If you send us suggestions, ideas, comments, feature requests, bug reports, content corrections, question feedback, or other feedback, you grant us the right to use that feedback without restriction or compensation to you. We may use feedback to improve, modify, market, or develop the Service.

23. Third-Party Services

The Service may rely on third-party providers for hosting, payments, authentication, analytics, email delivery, storage, support, artificial intelligence, adaptive learning tools, or other functions. We are not responsible for third-party services, websites, tools, outages, terms, privacy practices, or content. Your use of third-party services may be subject to separate terms and policies.

24. Service Availability and Changes

We strive to keep FieldworkABA available and reliable, but we do not guarantee uninterrupted, error-free, secure, or continuous access. The Service may be unavailable due to maintenance, updates, outages, security issues, third-party provider failures, internet disruptions, or events beyond our control.

We may modify, suspend, discontinue, rename, replace, or remove features at any time. For material changes that significantly affect paid users, we will provide reasonable notice where practical. If we discontinue the Service entirely, we will make reasonable efforts to provide advance notice and allow users to export their data before shutdown.

25. Account Suspension and Termination

25.1 Termination by You

You may stop using the Service at any time. You may request account deletion by contacting us or using available account tools. Account deletion and data deletion are handled according to our Privacy Policy.

25.2 Suspension or Termination by Us

We may suspend, restrict, or terminate your access to the Service if:

  • You violate these Terms;
  • You submit false or misleading information;
  • You misuse exam preparation content;
  • You fail to pay required fees;
  • Your use creates security, legal, operational, or reputational risk;
  • We are required to do so by law;
  • Your account is inactive for an extended period;
  • Your use harms or may harm FieldworkABA, another user, a supervisor, an organization, or a third party.

Where reasonable, we may provide notice and an opportunity to export your data. However, we may act immediately where necessary to protect the Service, users, data, intellectual property, or legal interests.

25.3 Effect of Termination

Upon termination, your right to use the Service ends immediately. Sections relating to data responsibility, BACB disclaimers, exam preparation disclaimers, intellectual property, payment obligations, limitation of liability, indemnification, dispute resolution, and other provisions that by their nature should survive will survive termination.

26. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIELDWORKABA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION.

WE DO NOT WARRANT THAT: THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; DEFECTS WILL BE CORRECTED; DATA WILL NEVER BE LOST OR CORRUPTED; CALCULATIONS WILL ALWAYS BE ACCURATE OR CURRENT; REPORTS WILL SATISFY BACB REQUIREMENTS; A SUPERVISOR WILL APPROVE OR SIGN YOUR RECORDS; THE BACB WILL ACCEPT YOUR HOURS, FORMS, OR DOCUMENTATION; EXAM PREPARATION FEATURES, PRACTICE QUESTIONS, EXPLANATIONS, RATIONALES, STUDY SCORES, READINESS INDICATORS, OR SUPPORT VISUALS WILL BE ACCURATE, COMPLETE, CURRENT, OR SUFFICIENT TO PASS ANY CERTIFICATION EXAM; THE SERVICE WILL MEET YOUR PROFESSIONAL, EDUCATIONAL, EMPLOYMENT, CERTIFICATION, EXAM PREPARATION, OR LEGAL NEEDS.

FIELDWORKABA IS NOT A SUBSTITUTE FOR PROFESSIONAL SUPERVISION, LEGAL ADVICE, CERTIFICATION ADVICE, EMPLOYMENT ADVICE, FORMAL COURSEWORK, OFFICIAL BACB MATERIALS, OR DIRECT GUIDANCE FROM THE BACB.

27. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIELDWORKABA, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, SERVICE PROVIDERS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. THIS INCLUDES, BUT IS NOT LIMITED TO: LOSS OF DATA; LOST PROFITS; LOST REVENUE; LOSS OF BUSINESS; MISSED CERTIFICATION DEADLINES; CERTIFICATION DENIALS; APPLICATION DELAYS; EXAM FAILURE; UNSUCCESSFUL EXAM PERFORMANCE; SUPERVISOR DISPUTES; EMPLOYMENT CONSEQUENCES; UNIVERSITY CONSEQUENCES; LOSS OF GOODWILL; SERVICE INTERRUPTIONS; UNAUTHORIZED ACCESS; ERRORS IN FIELDWORK RECORDS; ERRORS IN CALCULATIONS OR REPORTS; ERRORS IN PRACTICE QUESTIONS, EXPLANATIONS, RATIONALES, VISUALS, STUDY SCORES, OR READINESS INDICATORS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF: THE AMOUNT YOU PAID TO FIELDWORKABA IN THE 12 MONTHS BEFORE THE CLAIM; OR $100 USD.

Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

28. Indemnification

You agree to defend, indemnify, and hold harmless FieldworkABA, its owners, officers, employees, contractors, affiliates, service providers, and agents from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • Your use of the Service;
  • Your violation of these Terms;
  • Your violation of applicable law;
  • Your violation of BACB requirements or professional standards;
  • Your fieldwork records or User Content;
  • False, inaccurate, incomplete, misleading, or fraudulent data entered by you;
  • Your misuse of exam preparation content;
  • Your relationship with a supervisor, trainee, employer, university, organization, client, or third party;
  • Your unauthorized use or disclosure of sensitive information;
  • Your infringement or violation of any third-party rights.

29. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict-of-law principles.

30. Dispute Resolution

Before filing a claim, you and FieldworkABA agree to first try to resolve any dispute informally. A party seeking to bring a dispute must send written notice describing the dispute and the requested resolution. The parties will then attempt in good faith to resolve the dispute for at least 30 days.

If the dispute is not resolved within 30 days, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association under its applicable rules, unless prohibited by law. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property, confidential information, security, or unauthorized use of the Service.

31. Class Action Waiver

To the maximum extent permitted by law, you and FieldworkABA agree that disputes will be resolved only on an individual basis. You waive the right to participate in a class action, class arbitration, collective action, representative action, or consolidated proceeding.

32. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be interpreted to accomplish its intended purpose to the greatest extent permitted by law, and the remaining provisions will remain in full force and effect.

33. No Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce that provision later.

34. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms in connection with a merger, acquisition, financing, sale of assets, corporate restructuring, or transfer of the Service.

35. Entire Agreement

These Terms, together with the Privacy Policy and any applicable order form, subscription terms, or written agreement, constitute the entire agreement between you and FieldworkABA regarding the Service.

36. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the “Last Updated” date above. For material changes, we may also provide notice by email, in-app notice, website notice, or another reasonable method.

Your continued use of the Service after updated Terms become effective means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
